Terms of Service

1. Eligibility

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Services.

If you access or use the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, references to “you” include both you and the entity.

2. The OrbisIQ Services

OrbisIQ provides access to artificial intelligence models, tools, search capabilities, content-generation features, research tools, file and data functionality, image tools, and other AI-powered services.

Depending on your account, subscription plan, geographic location, system availability, and other factors, the Services may include features such as:

• conversational artificial intelligence;
• access to multiple AI models;
• web search;
• Deep Research;
• image generation and image-related tools;
• coding assistance;
• file and data analysis;
• projects and conversation organization;
• saved instructions and personalization;
• scheduled functionality;
• and other AI-powered tools introduced from time to time.

Features and usage allowances may differ between guest, free, trial, promotional, and paid plans.

We may add, modify, replace, limit, suspend, or discontinue models, tools, or features as the Services evolve.

3. Artificial Intelligence and Third-Party Models

OrbisIQ provides access to artificial intelligence technologies that may be developed, hosted, or operated by third parties.

Depending on the model or feature selected, your request may be processed using technology supplied by one or more third-party AI providers, infrastructure providers, search providers, hosting providers, storage providers, or other service providers.

OrbisIQ may route or reroute requests among available providers, infrastructure providers, or model versions for reasons including:

• availability;
• reliability;
• latency;
• performance;
• security;
• capacity;
• cost efficiency;
• technical compatibility; or
• service continuity.

Where appropriate, OrbisIQ may automatically retry a request or route it through an alternative provider or infrastructure path if the initially selected provider is unavailable or experiences an error.

A particular AI model, provider, model version, feature, or capability may become unavailable, be replaced, or change without notice.

Nothing in these Terms guarantees continuous access to any specific AI model, third-party provider, model version, feature, or response time.

4. Accounts

Certain features require an OrbisIQ account.

You agree to provide accurate information and maintain current account information.

You are responsible for activity occurring through your account and for maintaining control over the email address, authentication method, device, and other credentials used to access it.

You may not sell, rent, transfer, or share your account in a manner intended to circumvent subscription restrictions, usage limits, or other Service requirements.

You must promptly notify OrbisIQ if you believe your account has been compromised or used without authorization.

5. User Input

You may submit prompts, text, documents, files, images, data, instructions, or other materials to the Services (“Input”).

You retain any ownership rights you have in your Input.

You represent that you possess all rights, permissions, and authority necessary to submit your Input and permit it to be processed through the Services.

You must not submit Input that violates applicable law or the rights of another person or organization.

You grant OrbisIQ a limited worldwide license to host, process, reproduce, transmit, and otherwise use your Input as reasonably necessary to operate, maintain, secure, and provide the Services and as otherwise described in our Privacy Policy.

6. Acceptable Use and Prohibited Conduct

You may use OrbisIQ only for lawful purposes and in accordance with these Terms.

You may not use the Services to violate any applicable law or regulation; infringe the intellectual property, privacy, publicity, or other rights of another person or organization; commit or facilitate fraud, deception, phishing, identity theft, or other malicious conduct; distribute malware or harmful code; gain or attempt to gain unauthorized access to accounts, networks, devices, systems, or data; interfere with or disrupt the operation, security, or integrity of the Services; scrape, harvest, or systematically extract data without authorization; reverse engineer or attempt to reproduce proprietary models, algorithms, systems, or technology except where applicable law expressly permits; circumvent technical restrictions, usage limits, subscription restrictions, or safety measures; use automated systems in a manner that creates unreasonable or excessive load; resell or redistribute access to the Services without authorization; exploit or endanger children; create or distribute unlawful non-consensual intimate content; or otherwise use the Services in a manner that creates material legal, security, operational, or reputational risk to OrbisIQ, our providers, other users, or third parties.

OrbisIQ may restrict, suspend, or terminate access where we reasonably believe use of the Services violates these Terms or presents such a risk.

7. AI-Generated Output

The Services may generate text, images, code, analysis, research, summaries, recommendations, or other material in response to your Input (“Output”).

As between you and OrbisIQ, and to the extent permitted by applicable law, OrbisIQ does not claim ownership of your Output.

Subject to these Terms and applicable law and third-party rights, you may use your Output for lawful personal or commercial purposes.

Because artificial intelligence systems generate content probabilistically:

• Output may not be unique;
• other users may receive identical or similar Output;
• Output may contain factual errors or inaccuracies;
• Output may contain outdated information;
• Output may omit relevant information;
• Output may incorrectly summarize source material;
• Output may contain incorrect citations or references; and
• Output may resemble material subject to third-party intellectual property or other rights.

You are responsible for reviewing Output and determining whether it is appropriate for your intended use.

OrbisIQ does not guarantee that Output is eligible for copyright, patent, trademark, or other intellectual-property protection.

8. Copyright and Intellectual-Property Complaints

The OrbisIQ Services, including our software, website and application designs, branding, logos, interfaces, text, graphics, documentation, databases, functionality, technology, and other materials provided by OrbisIQ, are owned by OrbisIQ, PerseusTech, or their licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the limited, non-exclusive, non-transferable and revocable right to access and use the Services in accordance with these Terms, no rights in OrbisIQ intellectual property are transferred to you.

You retain any ownership rights you have in Input you submit to the Services, and rights relating to AI-generated Output are addressed in the AI-Generated Output section of these Terms. You may not copy, reproduce, modify, distribute, sell, license, commercially exploit, or use OrbisIQ's name, logo, branding, software, or proprietary materials except as expressly authorized by OrbisIQ or permitted by applicable law. If you believe material available through the Services infringes your copyright or other intellectual property rights, please contact legal@orbisiq.ai and identify the protected work, the allegedly infringing material, sufficient information to locate the material, your contact information, and any other information required by applicable law.

OrbisIQ may remove or restrict access to material where appropriate and may restrict or terminate accounts of repeat infringers where required or appropriate.

9. Accuracy and Professional Advice

Artificial intelligence can make mistakes.

Output should not automatically be treated as factual, complete, current, authoritative, or reliable.

You should independently verify important information before relying upon it.

Unless expressly stated otherwise, OrbisIQ is not a medical provider, law firm, financial adviser, accountant, investment adviser, emergency service, or other licensed professional service.

The Services and Output are not substitutes for qualified professional advice.

You should not rely solely on AI-generated Output for decisions where an error could result in significant financial loss, legal consequences, health or safety risks, or harm to another person.

You remain responsible for decisions and actions taken based on Output.

10. Usage Tokens and Usage Limits

OrbisIQ may measure use of the Services through internal usage units referred to as “tokens,” “usage tokens,” “credits,” or similar terminology.

These units are solely a mechanism for measuring access to and consumption of the Services.

Usage tokens:

• are not currency;
• are not cryptocurrency or digital assets;
• have no cash value;
• cannot be redeemed for cash;
• are not investment instruments; and
• may not be transferred, sold, traded, or exchanged except where OrbisIQ expressly permits otherwise.

Different models, tools, and features may consume different amounts of usage.

Usage rates may vary based on the model, feature, processing requirements, or Service involved.

OrbisIQ may change usage rates or token requirements for particular models, tools, or features as Service costs, capabilities, or other circumstances change.

Plan Tokens

Tokens included with a subscription or plan are associated with that plan.

Unless specifically stated otherwise, unused plan tokens expire at the end of the applicable plan period and do not roll over into a later plan period.

Purchased Tokens

Additional tokens purchased separately from a subscription are treated separately from plan tokens.

Unless otherwise disclosed at purchase:

• purchased tokens are valid for twelve (12) months from the date of purchase;
• purchased tokens do not automatically renew;
• purchased tokens are non-transferable;
• purchased tokens have no cash value; and
• unused purchased tokens are non-refundable except where required by applicable law.

Where both plan tokens and separately purchased tokens are available, OrbisIQ may deduct plan tokens before deducting purchased tokens.

Promotional or bonus tokens may have separate expiration dates or usage restrictions disclosed when they are issued.

OrbisIQ may establish reasonable usage limits to protect the Services against abuse, excessive automated activity, fraud, security threats, or activity that interferes with other users.

11. Trial Subscription

OrbisIQ may offer eligible new users a seven (7) day introductory trial for $1.50 USD, unless a different introductory price is clearly disclosed at checkout.

The trial provides access to the features, AI models, and usage-token allocation described on the applicable offer or checkout page.

Trial Payment

The introductory trial fee of $1.50 USD will be processed as a single payment transaction using the payment method provided at checkout.

By completing the trial purchase, you expressly authorize OrbisIQ and its designated payment processor to charge your selected payment method for the disclosed trial fee.

Trial access is subject to successful payment processing. Your seven-day trial begins when the trial subscription is successfully activated.

Trial Expiration and Conversion

Unless canceled before the trial expires and before the applicable recurring payment is processed, your trial will automatically convert to the paid subscription plan and billing frequency disclosed at checkout.

You may cancel your trial at any time before the first recurring subscription payment is processed to avoid that charge.

Additional information regarding automatic conversion, recurring billing, and cancellation is provided in Sections 12, 16, and 17 of these Terms.

12. Automatic Conversion After Trial

Your trial automatically converts to the paid OrbisIQ subscription identified at checkout unless you cancel before the trial ends and before the applicable recurring charge is processed.

Before you complete your trial purchase, OrbisIQ will disclose:

• the trial price;
• the length of the trial;
• the subscription plan that follows the trial;
• the amount of the recurring subscription charge;
• the billing frequency;
• and how to cancel.

By starting a trial, you expressly authorize OrbisIQ and its designated payment processor to securely maintain or tokenize your payment credentials as permitted by applicable law and payment-network requirements and to charge your payment method for the recurring subscription described at checkout when the trial ends.

After conversion, your subscription will automatically renew at the billing frequency disclosed at checkout until canceled.

You may cancel at any time before the trial expires and before the first recurring subscription charge is processed to prevent that recurring subscription charge.

OrbisIQ does not require you to cancel twenty-four (24) hours before the end of the trial. A cancellation properly completed before the applicable renewal payment is processed will prevent that renewal charge.

13. Paid Subscription Plans

Certain OrbisIQ features require a paid subscription.

OrbisIQ may offer monthly, quarterly, or other subscription plans.

The applicable:

• subscription price;
• billing frequency;
• included usage;
• included features;
• plan duration;
• and renewal terms

will be clearly displayed before you complete your purchase.

We do not guarantee that any particular plan or price will remain available indefinitely.

By purchasing a paid subscription, you authorize OrbisIQ and its designated payment processor to charge your selected payment method at the amount and frequency disclosed to you before purchase.

Subscriptions automatically renew at the end of each applicable billing period until canceled.

All subscription fees are denominated in U.S. dollars unless another currency is displayed at checkout.

Prices may vary based on country, currency conversion, taxes, regional pricing, promotional offers, payment method, or other factors disclosed before purchase.

14. Payment Authorization

By starting a trial, purchasing a subscription, purchasing additional tokens, or completing another paid transaction through OrbisIQ, you authorize OrbisIQ and its designated payment providers to charge the payment method you provide for the amount disclosed before purchase.

You agree to maintain current, complete, and accurate billing and payment information.

You authorize OrbisIQ and its payment providers to securely store or tokenize your payment credentials where necessary to process recurring subscriptions and other transactions you authorize.

If a payment is declined or cannot be processed because of insufficient funds, an expired payment method, issuer rejection, technical failure, or another reason, OrbisIQ may make additional payment attempts where permitted by law and applicable payment-network rules.

If payment remains unsuccessful, we may restrict, suspend, or terminate access to paid Services until the outstanding payment is resolved.

You remain responsible for authorized amounts properly incurred before cancellation.

OrbisIQ uses third-party payment processors and does not necessarily receive or store complete payment-card information.

15. Refunds

15.1 General Policy

Except where required by applicable law, expressly stated at the time of purchase, or approved by OrbisIQ under this Section, all fees and charges paid to OrbisIQ are final and non-refundable. This includes trial charges, subscription fees, renewal charges, usage-token purchases, and other paid features or services.

15.2 Trial Charges and Subscription Renewals

Any fee charged for a paid trial is the price for access during the stated trial period and is non-refundable except where required by law. If a trial automatically converts to a paid subscription as disclosed at checkout, the applicable subscription fee will be charged unless the subscription is canceled before the trial ends. Failure to cancel before a disclosed renewal date does not, by itself, entitle you to a refund.

15.3 Subscription Fees

Subscription fees are charged in advance for the applicable billing period. Canceling a subscription prevents future renewal charges but does not ordinarily result in a refund or credit for the current billing period. Except where required by law or expressly approved by OrbisIQ, we do not provide prorated refunds or credits for unused time, unused features, changes in usage, downgrades, or partial billing periods.

15.4 Usage Tokens and Other Credits

Purchases of usage tokens, credits, or similar prepaid usage are non-refundable and have no cash value, except where required by applicable law or where OrbisIQ determines that a billing or processing error occurred. Used or partially used token purchases are not eligible for refunds except where required by law. Expiration and usage rules applicable to tokens are described elsewhere in these Terms or at the time of purchase.

15.5 Billing Errors, Duplicate Charges, and Unauthorized Charges

If you believe you were charged incorrectly, charged more than once for the same purchase, or charged without authorization, please contact OrbisIQ Support promptly and provide sufficient information for us to identify and investigate the transaction. Where we verify a billing error, duplicate charge, unauthorized charge, or other payment-processing error for which OrbisIQ is responsible, we may issue a refund, reversal, or account credit as appropriate.

15.6 Refund Requests

Refund requests must be submitted through the support methods designated by OrbisIQ and should include the account associated with the charge, the transaction date, the amount charged, and the reason for the request. OrbisIQ may request additional information reasonably necessary to verify the transaction or your account. Unless applicable law provides otherwise, submitting a refund request does not guarantee that a refund will be issued.

15.7 Effect of an Approved Refund

If OrbisIQ refunds a subscription charge, we may terminate the paid subscription or paid access associated with that charge and return the account to the applicable free level of service. Any unused subscription benefits, included tokens, or credits associated with the refunded purchase may be removed from the account. Separately purchased tokens or services that were not part of the refunded transaction will not be affected unless otherwise required to correct the transaction.

If a refund is approved for a token or credit purchase, OrbisIQ may remove the corresponding unused tokens or credits from the account. A refund generally will not be issued for tokens or credits that have already been consumed, except where required by applicable law.

15.8 Cancellation Is Different From a Refund

Canceling a subscription stops future recurring charges in accordance with the applicable cancellation terms. Cancellation does not automatically reverse or refund charges that were validly incurred before the cancellation became effective.

15.9 Payment Disputes and Chargebacks

We encourage you to contact OrbisIQ Support before initiating a payment dispute or chargeback so that we have an opportunity to investigate and resolve the issue. This does not limit any rights you may have with your bank, card issuer, payment provider, or under applicable law. If a payment dispute or chargeback has already been initiated, OrbisIQ may be unable to issue a separate refund for the same transaction while that dispute remains pending.

15.10 Changes in Services or Features

Unless otherwise required by law, refunds are not provided solely because a particular AI model, provider, feature, tool, usage limit, response speed, or functionality is modified, replaced, restricted, or discontinued, provided that OrbisIQ continues to provide the applicable service in accordance with these Terms.

15.11 Applicable Consumer Rights

Nothing in this Section limits any refund, cancellation, withdrawal, or other consumer right that cannot lawfully be waived or restricted under the laws applicable to you. Where applicable law provides greater rights than this Section, those legal rights will apply.

16. Automatic Renewal

Paid subscriptions automatically renew at the end of each applicable billing period unless canceled before the applicable renewal charge is processed.

By starting a trial or purchasing a recurring subscription, you expressly authorize OrbisIQ and its payment processor to charge the recurring subscription fee disclosed at checkout to your selected payment method until you cancel.

Your renewal date and billing frequency will be based on the subscription selected at checkout.

17. Cancellation

You may cancel your OrbisIQ subscription at any time using the cancellation functionality made available through:

• your account;
• Billing settings;
• an OrbisIQ cancellation page or cancellation link; or
• another cancellation method made available by OrbisIQ.

Cancellation stops future automatic renewal charges.

If you cancel during the seven-day trial before the first recurring subscription payment is processed, you will not be charged the recurring subscription fee.

If you cancel after a paid subscription period has begun, you may continue using the applicable paid benefits until the end of the period for which you have already paid unless otherwise stated.

OrbisIQ will not require you to purchase another product, speak with a salesperson, complete an unnecessary survey, or navigate unreasonable steps as a condition of cancellation.

If a technical issue prevents you from completing cancellation, contact OrbisIQ Support promptly so we can assist you.

18. Subscription Pricing and Plan Changes

OrbisIQ may change subscription pricing, included usage, plan features, billing options, or plan availability from time to time.

Pricing changes will not retroactively alter the price of a subscription period for which you have already paid.

If the price of an automatically renewing subscription materially increases, OrbisIQ will provide advance notice as required by applicable law before the new price applies.

If you do not agree with the revised price or plan terms, you may cancel before the applicable renewal.

Continued use of a subscription after a properly disclosed pricing change takes effect constitutes acceptance of the new price to the extent permitted by applicable law.

19. Purchased Tokens and Add-On Purchases

OrbisIQ may allow users to purchase additional usage tokens, features, tools, or other add-on Services separately from a recurring subscription.

Purchased tokens are separate from tokens included with your subscription.

Unless otherwise disclosed before purchase, separately purchased tokens:

• remain valid for twelve (12) months from the purchase date;
• do not automatically renew;
• are non-transferable;
• have no cash value;
• cannot be redeemed for cash; and
• are non-refundable except where required by applicable law.

Where both subscription tokens and separately purchased tokens are available, OrbisIQ may deduct subscription tokens first.

The applicable price, token amount, expiration period, and other material purchase terms will be disclosed before you complete the transaction.

20. Promotional Offers

OrbisIQ may offer discounts, introductory pricing, promotional tokens, bonus usage, or other promotional benefits.

Promotional offers may be subject to additional eligibility requirements and may be limited to:

• new customers;
• one offer per customer;
• one offer per payment method;
• one offer per household;
• one offer per device;
• or other reasonable criteria disclosed with the promotion.

Promotional pricing applies only for the stated promotional period.

After a promotional period ends, the subscription may renew at the standard price disclosed to you unless canceled beforehand.

Attempting to obtain promotional benefits repeatedly through multiple accounts, email addresses, payment methods, devices, VPNs, or similar circumvention methods may result in restriction or termination of promotional access or your account.

21. Taxes

Prices displayed by OrbisIQ may exclude applicable sales, use, value-added, goods-and-services, or similar taxes unless otherwise stated.

Where required by law, applicable taxes may be calculated and added to your purchase or included in the displayed amount.

You are responsible for taxes applicable to your purchase except taxes imposed directly on OrbisIQ’s income.

22. Web Search, Research and Third-Party Information

Certain OrbisIQ features may retrieve, analyze, or summarize information from websites, search engines, databases, APIs, or other third-party sources.

Third-party information is controlled by its respective provider and may change or become unavailable.

Links, citations, references, summaries, or search results provided through OrbisIQ do not constitute endorsement of the underlying website, publisher, business, product, service, or information.

AI-generated citations, references, or summaries may contain errors.

When accuracy is important, you should review the original source directly.

Your use of third-party websites or services may be subject to separate terms and privacy policies.

23. Files and Data

Where the Services permit you to upload or process files, you are responsible for ensuring that you have all necessary rights and permissions to submit and process those files.

You should exercise appropriate care before submitting confidential, regulated, proprietary, personal, or sensitive information to an artificial intelligence service.

Additional information concerning how we process, transmit, and store information is provided in our Privacy Policy.

OrbisIQ may establish file-size, storage, retention, format, or usage limitations and may change those limitations over time.

24. Feedback

If you provide suggestions, ideas, comments, feedback, or recommendations concerning OrbisIQ, you authorize us to use that feedback without restriction or compensation to improve, develop, market, or operate our Services.

This does not give OrbisIQ ownership of your Input or Output generally.

25. Privacy

Our collection, use, disclosure, retention, and protection of personal information is described in the OrbisIQ Privacy Policy.

By using the Services, you acknowledge that information may be processed by service providers necessary to operate features you choose to use, including:

• AI model providers;
• hosting providers;
• storage providers;
• search providers;
• analytics providers;
• security providers; and
• payment processors.

Please review the Privacy Policy for additional information.

26. Suspension and Termination

You may stop using OrbisIQ at any time.

We may restrict, suspend, or terminate access to some or all of the Services when reasonably necessary, including because of:

• violation of these Terms;
• fraud or suspected fraudulent activity;
• unauthorized payment activity;
• security threats;
• abuse of the Services;
• infringement of third-party rights;
• legal or regulatory requirements;
• attempts to circumvent usage limitations;
• or activity that materially threatens OrbisIQ, its providers, or other users.

Where circumstances reasonably permit, we may provide notice or an opportunity to correct a violation before termination.

We may act immediately where necessary to address fraud, security risks, illegal activity, or material harm.

Sections that by their nature should survive termination will remain in effect.

27. Changes and Availability of the Services

Artificial intelligence technology changes rapidly.

OrbisIQ may modify:

• models;
• model versions;
• providers;
• pricing;
• token usage rates;
• interfaces;
• tools;
• features;
• subscription plans;
• integrations;
• or other aspects of the Services.

We do not guarantee that any particular model, feature, provider, integration, or capability will remain available indefinitely.

Temporary outages, provider failures, scheduled maintenance, capacity limits, security events, internet failures, and circumstances beyond our reasonable control may affect Service availability.

We do not guarantee uninterrupted or error-free operation.

28. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

ORBISIQ AND ITS AFFILIATES, PROVIDERS, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL ALWAYS BE AVAILABLE;
• OUTPUT WILL BE ACCURATE OR COMPLETE;
• OUTPUT WILL BE UNIQUE;
• ERRORS WILL ALWAYS BE CORRECTED;
• A PARTICULAR MODEL OR PROVIDER WILL REMAIN AVAILABLE; OR
• THE SERVICES WILL MEET EVERY USER’S PARTICULAR REQUIREMENTS.

Some jurisdictions do not permit certain warranty exclusions, so some portions of this section may not apply to you.

29. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORBISIQ AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITY ARISING FROM OR RELATED TO THE SERVICES OR OUTPUT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF ORBISIQ FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO ORBISIQ DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
• US $100.

These limitations apply regardless of the theory of liability and even if OrbisIQ has been advised that damages are possible.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

30. Indemnification

To the extent permitted by applicable law, if you use the Services on behalf of a business or organization, you agree to defend, indemnify, and hold harmless OrbisIQ and its affiliates, officers, directors, employees, and agents from third-party claims, damages, liabilities, and reasonable expenses arising from:

• your unlawful use of the Services;
• your Input;
• your violation of these Terms; or
• your violation of another person’s rights.

This provision does not apply to the extent a claim results from OrbisIQ’s own unlawful conduct or where indemnification is prohibited by applicable law.

31. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Before commencing a formal legal proceeding, you and OrbisIQ agree to attempt in good faith to resolve the dispute informally.

A party seeking to initiate a dispute must provide written notice describing the dispute and requested resolution.

The parties will have at least thirty (30) days to attempt informal resolution.

Except for disputes that qualify for small claims court, requests for injunctive relief relating to intellectual property or security, and disputes that applicable law prohibits from arbitration, disputes arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration.

Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules unless the parties agree otherwise.

Arbitration will occur on an individual basis.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ORBISIQ WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION.

You may opt out of this arbitration agreement by sending written notice to legal@orbisiq.ai within thirty (30) days after first accepting these Terms.

Your opt-out notice must include:

• your name;
• the email address associated with your OrbisIQ account; and
• a clear statement that you wish to opt out of arbitration.

If applicable law prevents enforcement of any portion of this arbitration provision, that portion will be limited or severed to the minimum extent necessary.

32. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles, except to the extent federal law applies or applicable consumer protection or other laws provide rights that cannot lawfully be waived.

For any dispute that is not subject to arbitration under these Terms, you and OrbisIQ consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Wyoming, except where applicable law requires otherwise.

33. Changes to These Terms

We may update these Terms as our Services, technology, business, pricing structure, or legal obligations change.

When we update the Terms, we will revise the “Last Updated” date.

If a change materially affects your rights or obligations, we may provide additional notice by email, through the Services, or by another reasonable method.

Changes will apply prospectively unless applicable law requires otherwise.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms.

If you do not agree to revised Terms, you should stop using the Services and cancel any recurring subscription.

34. General Terms

These Terms, together with the Privacy Policy and any additional terms expressly applicable to a particular Service, promotion, or purchase, constitute the agreement between you and OrbisIQ concerning the Services.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver of our right to enforce it later.

You may not assign these Terms without our written consent.

We may assign these Terms in connection with a merger, acquisition, corporate restructuring, financing, sale of assets, or transfer of the Services.

We are not responsible for delays or failures resulting from events outside our reasonable control.

Headings are included for convenience and do not affect interpretation.

Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and OrbisIQ.
